General Terms and Conditions (B2B)

1. Scope

These terms apply to business relationships between L&S GmbH, Schillerstraße 18, 71686 Remseck am Neckar, Germany, and its business customers. The shop is directed exclusively at entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law.

2. B2B-Only Access

Prices and ordering functions are available only after dealer registration and approval. By registering and ordering, customers confirm that they act as entrepreneurs and not as consumers.

3. Contract Formation

Product presentation in the shop is not a legally binding offer but an invitation to submit an order. A contract is formed only when the order is accepted by L&S GmbH, for example by order confirmation, invoice or fulfilment.

4. Prices, Taxes and Payment

Unless otherwise stated, prices are net prices plus statutory VAT and shipping costs. Payment is made by direct bank transfer unless another payment method has been agreed in writing.

5. Delivery

Delivery times and shipping costs depend on product availability, order volume, packaging requirements and destination. Partial deliveries are permissible where reasonable for the customer.

6. Retention of Title

Goods remain the property of L&S GmbH until full payment has been received.

7. Warranty

Statutory warranty rights apply unless validly modified by the German terms. Business customers must inspect delivered goods without undue delay and notify defects in accordance with commercial law requirements.

8. No Consumer Withdrawal Right

Because the shop is exclusively B2B, there is no statutory consumer right of withdrawal.

9. Liability

Liability is governed by applicable law and the German terms. Mandatory liability, in particular for intent, gross negligence and injury to life, body or health, remains unaffected.

10. Governing Law

German law applies. The place of jurisdiction is determined by the legally valid provisions in the German terms.
